This Brand Ambassador Agreement (“Agreement”) is entered into by and between Invevo Limited, a company registered in England and Wales with its registered office at 10 Booth Street, Salford, M3 5DG, England (“Invevo”), and any individual or entity who agrees to participate as a Brand Ambassador (“Ambassador”).
Invevo appoints the Ambassador to promote and endorse its services in a professional and ethical manner. The Ambassador agrees to use their platform, network, and promotional efforts to increase awareness and generate referrals for Invevo.
The Ambassador is an independent contractor and not an employee, agent, or representative of Invevo.
The Ambassador agrees to:
• Promote Invevo’s services through social media, networking, and other marketing methods.
• Use Invevo’s approved branding, logos, and messaging in promotional content.
• Represent Invevo professionally and refrain from making misleading or false claims.
• Disclose their ambassador status in all promotions where required (e.g., using #ad or #sponsored in social media posts).
• Not engage in negative or defamatory discussions about Invevo.
• Comply with all applicable marketing laws and ethical guidelines.
The Ambassador must not:
• Represent themselves as an employee or official representative of Invevo.
• Enter into contracts or obligations on behalf of Invevo.
• Use Invevo’s intellectual property beyond the scope of approved promotional activities.
The Ambassador will earn commission-based rewards for successful referrals, subject to the following terms:
• Commission Rate: The Ambassador will receive 15% commission for any new referral introduced to Invevo in Year 1 and thereafter 10% for the lifetime of them being a paying client.
• Payment Schedule: Commissions are paid within 30 days after the referred client makes a payment to Invevo.
• Payment Method: Payments will be made via bank transfer or PayPal.
• Expenses: The Ambassador is responsible for any costs incurred in promotional efforts.
• This Agreement remains in effect until terminated by either party.
• Either party may terminate this Agreement with 30 days’ written notice.
• Invevo may terminate the Agreement immediately if the Ambassador engages in misconduct, unethical behaviour, or breaches confidentiality.
• The Ambassador must keep any non-public business, marketing, and financial information confidential.
• Invevo retains all rights to its branding, logos, and intellectual property.
• Any content created by the Ambassador using Invevo’s branding is the property of Invevo.
• The Ambassador is responsible for their actions and promotional activities.
• Invevo is not liable for indirect or consequential damages related to this Agreement.
• The Ambassador agrees to indemnify and hold Invevo harmless from any claims arising from their promotions.
This Agreement is governed by the laws of England and Wales.
Any disputes will be resolved through negotiation and, if necessary, in the courts of England and Wales.
• Entire Agreement: This Agreement supersedes any prior understandings or discussions.
• Amendments: Any changes must be agreed upon in writing.
• Assignment: The Ambassador may not transfer rights under this Agreement.
• Independent Contractor: The Ambassador operates independently and is not an employee of Invevo.
By participating in the Invevo Brand Ambassador Program, the Ambassador agrees to these terms and conditions.
